Clause n° 1 : Object
The general conditions of sale described below detail the rights and obligations of Mikaël Bidault, publisher and owner of Articho software (hereinafter referred to as “the publisher”) and his client in connection with the sale of Articho, a software add-in for Microsoft Word.
Any service performed by the publisher therefore implies the buyer’s unreserved adherence to these general conditions of sale.
Clause n° 2 : Prices
The prices of goods sold are those in force on the day the order is placed. They are denominated in euros and calculated net of taxes. As the publisher is not currently subject to VAT, the prices will not be increased by the VAT rate in force of the order date.
The publisher reserves the right to change the prices at any time. However, the publisher undertakes to invoice the goods ordered at the prices indicated when the order is recorded.
Clause n° 3 : Discounts and rebates
The proposed rates include discounts and rebates that the publisher may be led to grant taking into account results or the assumption by the buyer of certain services.
Clause n° 4 : Discount
No discount will be granted in the case of advance payment.
Clause n° 5 : Terms of payment
The payment of the orders may be carried out:
- eitehr by check;
- or by credit card;
- or by Paypal account.
Clause n° 6 : Retention of title clause
Articho remains the property of the publisher. As such, if the buyer is subject to a receivership or liquidation, the publisher reserves the right to claim, as part of the collective proceedings, the licenses sold and unpaid.
Clause n° 7 : Force majeure
The responsibility of the publisher may not be implemented if the non-performance or delay in the performance of one of the obligations described in the present general conditions of sale arises from a case of force majeure. In this context, force majeure means any external, unforeseeable and irresistible event within the meaning of Article 1148 of the Civil Code.
Clause n° 8 : Competent court
Any dispute relating to the interpretation and execution of these general conditions of sale is subject to French law. Failing amicable resolution, the dispute will be brought before the Commercial Court of Quimper.
